Introduction
These Terms & Conditions ("Terms") govern your purchase and use of digital audio plugins and related products ("Products") sold by Apollo View Modular ("we", "us", or "our"). By purchasing or using our Products, you agree to be bound by these Terms. If you do not agree, please do not purchase or use our Products.
Definitions
- Product: Any digital audio plugin, software, or related digital content offered for sale by Apollo View Modular.
- License: The right granted to you to use a Product in accordance with these Terms.
- License Key: A unique code provided upon purchase that activates your Product.
- Paddle: Paddle.com Market Limited, acting as our Merchant of Record for payment processing.
Products & Services
We develop and sell digital audio plugins for use in digital audio workstations (DAWs). Products are delivered electronically via download links and/or license keys sent to the email address provided at purchase. You are responsible for ensuring your system meets the minimum requirements specified on the Product page before purchasing.
Paddle as Merchant of Record
All payments for our Products are processed by Paddle.com Market Limited, who acts as our Merchant of Record. Paddle processes your payment, issues invoices and receipts, and determines, collects, and remits applicable taxes on our behalf. Your purchase is additionally governed by Paddle's Checkout Buyer Terms.
License Grant
Subject to your payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the Product for personal or internal business use. The scope of your licence (including the number of permitted installations or devices) is determined by the licence type purchased, as described on the Product page at the time of purchase.
Usage Restrictions
You agree that you will not:
- Copy, reproduce, or distribute the Product beyond what is permitted by your licence.
- Modify, adapt, translate, reverse engineer, decompile, or disassemble the Product.
- Resell, sublicence, lease, rent, or otherwise transfer the Product or your licence to any third party.
- Remove or alter any proprietary notices, labels, or marks on the Product.
- Circumvent or attempt to circumvent any licence controls, copy protection, or authentication mechanisms.
- Use the Product for any unlawful purpose or in violation of any applicable laws or regulations.
Refund Policy
As our Products are digital content delivered electronically, all purchases are generally non-refundable once download or activation has begun. By completing your purchase and downloading or activating the Product, you consent to immediate delivery and acknowledge that you lose your right of withdrawal once the download or activation begins.
EU/UK Consumers: If you are a consumer in the European Union or the United Kingdom, you may have a 14-day cooling-off period under applicable consumer protection law. You expressly consent to immediate delivery and acknowledge that you lose your right of withdrawal once the download, activation, or use of the Product begins. If you do not wish to waive this right, do not begin downloading or activating the Product during the cooling-off period.
If you experience a genuine technical issue that prevents the Product from functioning as described, please contact us and we will work to resolve the issue or, at our discretion, offer a refund.
Intellectual Property
All intellectual property rights in the Products, including but not limited to copyrights, trademarks, trade secrets, and patents, remain the exclusive property of Apollo View Modular. Your licence does not grant you any ownership rights in the Product. Nothing in these Terms restricts your ownership of any original music, audio, or creative works you produce using our Products.
Disclaimer of Warranties
Our Products are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Products will be error-free, uninterrupted, or compatible with all hardware or software configurations.
Limitation of Liability
To the maximum extent permitted by applicable law, Apollo View Modular shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Products, even if we have been advised of the possibility of such damages. Our total liability for any claim arising under these Terms shall not exceed the amount you paid for the Product giving rise to the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
Updates & Support
We may, at our discretion, provide updates, patches, or new versions of the Products. Such updates may be required for continued compatibility with your system. We are not obligated to provide ongoing support, maintenance, or updates, but we endeavour to address significant issues in a timely manner.
Termination
We may terminate or suspend your licence immediately if you breach any provision of these Terms. Upon termination, you must cease all use of the Product and destroy any copies in your possession. Termination does not entitle you to a refund.
Changes to These Terms
We reserve the right to update or modify these Terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of the Products after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also have the right to bring proceedings in your country of residence, where mandatory consumer protection laws apply.
