End User License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you (“Licensee”) and Apollo View Modular Ltd (“Developer”) for the use of any audio plugin software published by the Developer (“Software”).
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.
1. Grant of License
The Developer grants you a non-exclusive, non-transferable, perpetual license to use the Software subject to the following terms:
1.1 Personal Use
You may install and use the Software on any number of computers that you personally own and use. You are the sole authorised user of your license.
1.2 Plugin Formats
A single license entitles you to use all plugin formats included with the Software at the time of release, as well as any additional formats the Developer may release in the future.
1.3 Commercial Use
You may use the Software for commercial music production, sound design, mixing, mastering, broadcast, and any other lawful audio production purpose.
2. Free Editions
The Developer may offer free editions of certain Software at no cost. A free license key must be obtained from the Developer to activate a free edition. Free editions are subject to all terms of this Agreement.
3. No Transfer
Your license is non-transferable. You may not sell, assign, sublicense, or otherwise transfer your license or license key to any other individual or entity.
4. Restrictions
You may not:
- Distribute, sublicense, lease, rent, or lend the Software to any third party without the Developer's prior written consent.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
- Remove, alter, or obscure any copyright notices, trademarks, or other proprietary notices contained in the Software.
- Share, publish, or distribute your license key.
- Use the Software in any manner that violates applicable laws or regulations.
5. Intellectual Property
The Software, including all code, graphics, user interface design, logos, and documentation, is the intellectual property of Apollo View Modular Ltd and is protected by copyright and other intellectual property laws.
This Agreement does not grant you any ownership rights in the Software. You are licensed to use the Software, not to own it.
All trademarks, trade names, and logos associated with Apollo View Modular Ltd and its Software are the property of the Developer.
6. No Warranty
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The Developer does not warrant that the Software will be error-free, uninterrupted, or free of harmful components.
7. Limitation of Liability
IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.
The Developer's total liability under this Agreement shall not exceed the amount you paid for the Software.
8. Privacy
The Software does not collect, transmit, or store any personal data. The Software does not communicate with any external servers. License validation is performed entirely on your local machine.
Payment processing is handled by Paddle, a third-party payment provider. The Developer does not store or have access to your payment card details or billing information. The Developer retains only your name, email address, and transaction reference number for the purpose of providing access to your downloads and license keys.
9. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms.
Upon termination, you must:
- Remove all copies of the Software from your computers.
- Destroy any backup copies in your possession.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
11. Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
12. Entire Agreement
This Agreement constitutes the entire agreement between you and the Developer regarding the Software and supersedes all prior agreements, understandings, and communications, whether written or oral.
